Dispute Resolution

Informal Resolution

Before initiating any formal dispute resolution process, we encourage you to contact us directly to discuss and attempt to resolve the matter informally. Most concerns can be resolved quickly through direct communication. Mediation

If informal resolution is unsuccessful, you agree to first attempt to resolve the dispute through mediation. Mediation is a voluntary process where a neutral third party helps both sides reach a mutually acceptable solution. The mediation will be conducted by a mediator mutually agreed upon by both parties, or if no agreement can be reached, by a mediator appointed by the American Arbitration Association (AAA) or similar organization.

The costs of mediation will be shared equally between the parties, unless otherwise agreed. Mediation must be initiated within 60 days of the dispute arising, and both parties agree to participate in good faith.

Arbitration

If mediation is unsuccessful or not completed within 90 days, any dispute, controversy, or claim arising out of or relating to these Terms of Use or the breach, termination, or validity thereof shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

The arbitration shall be conducted in Minneapolis, Minnesota, United States, and shall be conducted in the English language. The arbitrator's decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

You and exceptionalcatal agree that any arbitration will be limited to the dispute between you and exceptionalcatal individually. There is no right or authority for any dispute to be arbitrated on a class-action basis or to utilize class action procedures, and there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or to prevent irreparable harm, without first engaging in mediation or arbitration.

Waiver of Jury Trial

By agreeing to arbitration, you and exceptionalcatal each waive the right to a trial by jury and the right to participate in a class action or representative proceeding.

Governing Law and Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Minnesota, United States, without regard to its conflict of law provisions or principles.

Applicable Law

The laws of the State of Minnesota, United States, govern these Terms of Use and any disputes arising from or relating to these terms or our services, regardless of conflict of law rules. This includes:

Where applicable, federal laws of the United States, including but not limited to the Federal Arbitration Act, the Digital Millennium Copyright Act (DMCA), and federal consumer protection laws, shall also apply and may preempt state law in certain circumstances.

Jurisdiction

For any disputes not subject to arbitration, or for enforcement of arbitration awards, you and exceptionalcatal agree to submit to the exclusive jurisdiction of the state and federal courts located in Hennepin County, Minnesota, United States. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
